4.3 Payments and No Refunds. Customer shall pay all fees by the due dates set forth in the applicable Order or invoice. 7. CONFIDENTIALITY

7.1 Definition. “Confidential Information” means any non-public information disclosed by either party to the other party, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

7.2 Obligations. Each party agrees to: (a) maintain the other party’s Confidential Information in strict confidence; (b) not disclose such Confidential Information to any third party except as expressly permitted herein; and (c) use such Confidential Information only for the purposes of performing its obligations or exercising its rights under this Agreement.

7.3 Exceptions. Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed by the receiving party without use of or reference to the disclosing party’s Confidential Information; or (d) is lawfully received from a third party without restriction on disclosure.

8. WARRANTIES

8.1 ITNAV Warranty. ITNAV warrants that: (a) it has the legal power and authority to enter into this Agreement; and (b) the System will perform materially in accordance with the Documentation.

8.2 Customer Warranty. Customer warrants that: (a) it has the legal power and authority to enter into this Agreement; and (b) it will use the System in compliance with all applicable laws and regulations.

8.3 Disclaimer. EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN THIS SECTION 8, THE SYSTEM IS PROVIDED “AS IS” AND “AS AVAILABLE.” ITNAV EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ITNAV MAKES NO WARRANTY THAT THE SYSTEM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

8.4 Warranty Remedy. As Customer’s exclusive remedy for breach of the warranty in Section 8.1(b), ITNAV shall use commercially reasonable efforts to correct the non-conformity. If ITNAV is unable to do so within thirty (30) days after receiving written notice describing the non-conformity in reasonable detail, either party may terminate the affected Order, and ITNAV shall refund any prepaid fees covering the remainder of the Term after the effective date of termination.

9. LIMITATION OF LIABILITY

9.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR OTHER LOSS OR DAMAGE WHATSOEVER, INCLUDING BUT NOT LIMITED TO LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE USE OF OR INABILITY TO USE THE SYSTEM, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

9.2 IN NO EVENT SHALL EITHER PARTY’S ENTIRE AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, WHETHER DIRECT OR INDIRECT, EXCEED THE TOTAL FEES PAID OR PAYABLE BY CUSTOMER FOR THE SYSTEM, WHETHER TO ITNAV DIRECTLY, THROUGH GENESYS VIA THE APPFOUNDRY MARKETPLACE, OR THROUGH AN AUTHORIZED RESELLER, DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.

9.3 THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION 9 SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF CUSTOMER’S REMEDIES FAIL OF THEIR ESSENTIAL PURPOSE.

9.4 THE LIMITATIONS SET FORTH IN SECTIONS 9.1 AND 9.2 SHALL NOT APPLY TO: (A) CUSTOMER’S OBLIGATION TO PAY FEES DUE UNDER THIS AGREEMENT; (B) A PARTY’S INDEMNIFICATION OBLIGATIONS UNDER SECTION 10; (C) CUSTOMER’S BREACH OF SECTION 3; OR (D) LIABILITY ARISING FROM A PARTY’S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD.

10. INDEMNIFICATION

10.1 By ITNAV. ITNAV shall indemnify, defend, and hold harmless Customer from and against any third-party claim that Customer’s authorized use of the System infringes or misappropriates a third party’s intellectual property rights, and shall pay any damages finally awarded against Customer or any settlement amounts agreed to by ITNAV. If the System becomes, or in ITNAV’s reasonable opinion is likely to become, the subject of such a claim, ITNAV may, at its option and expense: (a) procure for Customer the right to continue using the System; (b) modify or replace the System so that it is non-infringing without materially reducing its functionality; or (c) if neither (a) nor (b) is commercially reasonable, terminate the affected Order and refund any prepaid fees covering the remainder of the Term. ITNAV shall have no obligation under this Section 10.1 for any claim arising from: (i) modification of the System other than by ITNAV; (ii) combination of the System with products, services, or data not provided by ITNAV (including Genesys Cloud), where the claim would not have arisen but for such combination; or (iii) use of the System in violation of this Agreement.

10.2 By Customer. Customer shall indemnify, defend, and hold harmless ITNAV, its officers, directors, employees, and affiliates from and against any third-party claim and any resulting losses, damages, fines, and expenses (including reasonable attorney’s fees) arising out of or relating to: (a) Customer’s use of the System in violation of this Agreement or applicable law; or (b) any allegation that Customer Data, or ITNAV’s processing of Customer Data in accordance with this Agreement, infringes or violates the rights of a third party or applicable law.

10.3 Procedure. The indemnified party shall: (a) give the indemnifying party prompt written notice of the claim (provided that any delay shall relieve the indemnifying party of its obligations only to the extent it is prejudiced thereby); (b) give the indemnifying party sole control of the defense and settlement of the claim, provided that the indemnifying party may not settle any claim in a manner that imposes any obligation or admission of liability on the indemnified party without its prior written consent; and (c) provide reasonable cooperation, at the indemnifying party’s expense.

11. THIRD-PARTY PLATFORM (GENESYS CLOUD)

11.1 Genesys Cloud Dependency. The System is designed to operate within and alongside the Genesys Cloud platform. ITNAV is not the creator, owner, or operator of Genesys Cloud. Customer’s use of Genesys Cloud is governed by separate terms between Customer and Genesys Telecommunications Laboratories, Inc. or its affiliates.

11.2 No Genesys Warranty. ITNAV makes no representation or warranty regarding Genesys Cloud, its availability, performance, or compatibility. ITNAV shall not be liable for any loss or damage arising from the unavailability, modification, or discontinuation of Genesys Cloud or any changes to the Genesys Cloud APIs.

11.3 AppFoundry Marketplace. To the extent the System is obtained through the Genesys Cloud AppFoundry marketplace, Customer acknowledges that Genesys acts solely as a billing agent and marketplace operator. The terms governing Customer’s use of the System are solely between Customer and ITNAV. Genesys is not a party to this Agreement. Genesys makes no representation or warranty regarding the System and has no obligation with respect to it; Customer shall look solely to ITNAV for support, warranty, and all other obligations relating to the System.

12. TERM AND TERMINATION

12.1 Term. This Agreement commences on the Effective Date and continues for the initial subscription period specified in the applicable Order (the “Initial Term”). Thereafter, the Agreement shall automatically renew for successive periods equal to the Initial Term (each a “Renewal Term,” and together with the Initial Term, the “Term”), unless either party provides written notice of non-renewal at least thirty (30) days prior to the expiration of the then-current term.

12.2 Termination for Cause. Either party may terminate this Agreement upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receiving written notice thereof. If Customer terminates this Agreement under this Section 12.2 due to ITNAV’s uncured material breach, ITNAV shall refund any prepaid fees covering the remainder of the Term after the effective date of termination.

12.3 Termination for Convenience. Customer may terminate this Agreement at any time by providing ITNAV with at least thirty (30) days’ prior written notice; provided that no refund of prepaid fees shall be due except as expressly set forth herein.

12.4 Effect of Termination. Upon termination or expiration of this Agreement: (a) Customer’s right to access and use the System shall immediately cease; (b) each party shall return or destroy all Confidential Information of the other party in its possession; (c) ITNAV shall delete Customer Data within sixty (60) days following termination, unless longer retention is required by applicable law; and (d) Customer shall uninstall the System from its Genesys Cloud organization, and ITNAV shall cease accessing Customer’s Genesys Cloud environment and cease using any access credentials (including OAuth client credentials) issued for the System. ITNAV will provide Customer with reasonable opportunity to export Customer Data prior to deletion.

12.5 Survival. The following sections shall survive any termination or expiration of this Agreement: Sections 3, 4 (with respect to amounts accrued prior to termination), 5, 6, 7, 8.3, 9, 10, 11, and 13.

13. GENERAL PROVISIONS

13.1 Notices. ITNAV may send notices related to this Agreement to the email address Customer has provided. Customer may send notices to ITNAV at info@asqnow.com.

13.2 Entire Agreement. This Agreement, together with any Orders, the DPA, and the Support Terms, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.

13.3 Amendment. ITNAV may modify this Agreement from time to time by publishing an updated version and notifying Customer. Modifications will take effect at the beginning of Customer’s next Renewal Term, except that modifications required by applicable law, or that apply only to new features, may take effect upon notice. If a modification materially and adversely affects Customer’s rights, Customer may terminate this Agreement by written notice given within thirty (30) days after receiving notice of such modification, in which case ITNAV shall refund any prepaid fees covering the remainder of the Term after the effective date of termination.

13.4 Assignment. Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign this Agreement without consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

13.5 Severability. If any provision of this Agreement is held to be invalid or unenforceable, such provision will be interpreted to fulfill its intended purpose to the maximum extent permitted by applicable law, and the remaining provisions of this Agreement will continue in full force and effect.

13.6 Waiver. No failure or delay by either party in exercising any right under this Agreement shall constitute a waiver of that right.

13.7 Force Majeure. Neither party shall be liable for any failure or delay in performing its obligations under this Agreement where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, or disruptions to Internet connectivity or third-party cloud infrastructure. This Section 13.7 does not excuse Customer’s obligation to pay fees due.

13.8 Governing Law and Jurisdiction. This Agreement shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the competent courts located in Israel.

13.9 Independent Contractors. The relationship between the parties is that of independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, or agency relationship between the parties.

13.10 Export Compliance. Customer shall comply with all applicable export and re-export control and economic sanctions laws and regulations in connection with its use of the System. Customer represents that it is not located in, organized under the laws of, or owned or controlled by persons in, any country or region subject to comprehensive sanctions, and that it is not listed on any applicable restricted-party list.

13.11 Order of Precedence. In the event of any conflict among the documents forming this Agreement, the following order of precedence shall apply: (a) the DPA, with respect to the processing of Personal Data; (b) this Agreement; (c) the Support Terms; and (d) the applicable Order, except that an Order shall prevail as to commercial terms expressly stated therein (such as fees, quantities, and subscription period).
